Mobility services Terms
These Mobility services Terms (the “Mobility services Terms”) supplement and are incorporated by reference into the Google TOS. These Mobility services Terms apply solely to the Services and are effective so long as there is an active Product Schedule for the Services. Terms defined in the Google Maps Platform Terms of Service apply to these Mobility services Terms. Section 3 of the Google Maps Platform Terms of Service is deleted in its entirety and replaced with the Mobility services Terms. To the extent the Google Maps Platform Terms of Service and the Mobility services Terms conflict, the Mobility services Terms govern.
1. Using the Services.
1.1 License Grant. Subject to the Agreement’s terms, during the Addendum Term, Google grants to Customer a non-sublicensable, non-transferable, non-exclusive license to use the Services in connection with Mobility Transactions in Customer Application(s).
1.2 License Requirements and Restrictions. The following are conditions of the license granted in Section 1.1 (License Grant) of these Mobility services Terms. In this Section 1.2 (License Requirements and Restrictions), the phrase “Customer will not” means “Customer will not and will not permit a third party to.”
1.2.1 Requirements for Using the Services.
(a) End User Terms and Privacy Policy.
(i) The Customer Application’s terms of service will (A) notify End Users that the Customer Application includes Google Maps features and content; and (B)
state that use of Google Maps features and content is subject to the then-current versions of the:
(1) Google Maps/Google Earth Additional Terms of Service at
https://maps.google.com/help/terms_maps.html;
(2) Google Privacy Policy at https://www.google.com/policies/privacy/.
(ii) If End Users of the Customer Application fail to comply with applicable
terms of the Google Maps/Google Earth Additional Terms of Service, then
Customer will take appropriate enforcement action, including suspending or
terminating those End Users’ use of Google Maps features and content in the
Customer Application.
(b) Attribution. Customer will display all attribution that (i) Google provides through the Services (including branding, logos, and copyright and trademark notices); or (ii) is specified in the Service Specific Terms. Customer will not modify, obscure, or delete such attributions.
(c) Search Results Integrity. Subject to the Agreement’s terms, Customer may modify search results from the Services. Customer will notify End Users if Customer modifies any of the search results from the Services.
(d) Review of Customer Applications. If Google reasonably believes a Customer Application is non-compliant with this Agreement, Google and Customer agree to review the Customer Application, in good faith, to discuss actions needed for Customer
Application compliance to the Agreement.
(e) Reporting Billable Transactions.
(i) Customer must ensure the Services are properly implemented to report
Billable Transactions in compliance with the Reporting Requirements.
(ii) Customer will (a) accurately report Billable Transactions as described in
the Reporting Requirements, and (b) only use the Services to generate Billable
Transactions except as specified in Section 1.2.2(d) (No Use of Navigation
Content by Drivers or End Users Except For Mobility Transactions).
(f) Use of Navigation SDK Services
(i) Customer will display the Navigation SDK Service in-product terms in the Customer Application’s user interface to the End User before the End User uses
navigation in the Customer Application. Customer may not modify the Navigation SDK Service in-product terms and conditions without Google’s prior written
consent (email is sufficient); and
(ii) Customer is responsible for ensuring each End User:
(1) understands that information from the Navigation SDK Service
may differ from actual real time conditions, and End Users must exercise
independent judgment when using navigation; and
(2) is informed that such End User is solely responsible for costs
incurred as a result of following the directions provided by the Navigation
SDK Service (i.e., toll fees, High-Occupancy Vehicle, etc).
1.2.2 Restrictions against Misusing the Services (Additional Use Restrictions).
(a) No Scraping. Customer will not export, extract, or otherwise scrape Google Maps Content for use outside the Services. For example, Customer will not:
(i) make a request to the Services for Google Maps Content for the purpose
of downloading and saving that content for future usage;
(ii) download Google Maps tiles, Street View images, geocodes, directions,
routes polylines, distance matrix results, roads information, places information,
elevation values, and time zone details; or
(iii) save addresses, business names, or user reviews in Customer’s
database.
(b) No Caching. Customer will not cache Google Maps Content except as expressly permitted under the Service Specific Terms.
(c) No Creating Content from Google Maps Content. Customer will not create content based on Google Maps Content. For example, Customer will not:
(i) trace or digitize roadways, building outlines, utility posts, or electrical lines from the Maps JavaScript API Satellite base map type;
(ii) create 3D building models from 45° Imagery from Maps JavaScript API;
(iii) build terrain models based on elevation values from the Elevation API;
(iv) use latitude/longitude values from the Places API as an input for
point-in-polygon analysis;
(v) construct an index of tree locations within a city from Street View imagery; (vi) convert text-based driving times into synthesized speech results;
(vii) create a digital road network from road-snapped geolocations; or
(viiii) use Google Maps Content or results from an offline behavioral analysis to train or validate a machine learning model.
(d) No Use of Navigation Content by Drivers or End Users Except For Mobility Transactions.
(i) Customer will not allow Drivers to input a Navigation Query’s destination
(i.e. the destination must be determined by the Customer or Client), except for (a) Mobility Transactions and (b) activities incidental to Mobility Transactions (e.g.,
navigating a Driver to an area with a higher likelihood of passenger demand for a ride or to a location to refuel a Driver’s vehicle).
(ii) Customer will not provide Navigation Content or turn-by-turn navigation
directions to End Users in the Customer Application, except for Navigation
Content associated with an End User’s Mobility Transaction.
(e) No Re-Creating Google Products or Features. Customer will not use the Services to create a product or service with features that are substantially similar to or that re-create a Google product or service. Customer’s product or service must contain substantial independent value and features beyond the Google products or services. For example, Customer will not:
(i) redistribute the Services or pass them off as if they were Customer’s
services;
(ii) create a substitute of the Services, Google Maps, or Google Maps mobile apps, or their features;
(iii) use the Services in a listings or directory service or to create or augment
an advertising product; or
(iv) combine data from the Google Directions API, Google Geolocation API,
and Maps SDK for Android to create real-time navigation functionality
substantially similar to the functionality provided by the Google Maps mobile app.
(f) No Use with Non-Google Maps. To avoid quality issues and brand confusion, Customer will not use the Services with or near a non-Google map in a Customer Application. For example, Customer will not (i) display or use “Places” content on a non-Google map, (ii) display “Street View” imagery and non-Google maps on the same screen, (iii) link a Google Map to non-Google Maps Content or a non-Google map, or (iv) use a latitude/longitude obtained from Services with a non-Google map.
(g) No Circumventing Fees. Customer will not circumvent the applicable Fees. For example, Customer will not and Customer will ensure that its End Users do not:
(i) create multiple billing accounts or Projects to avoid incurring Fees;
(ii) prevent Google from accurately calculating Customer’s use of the
Services;
(iii) abuse any free Service quotas; or
(iv) conceal Billable Transaction-related activity that must be disclosed in
accordance with the Reporting Requirements.
(h) No use in Prohibited Territories. Customer will not distribute or market in a Prohibited Territory any Customer Application(s) that use the Services.
(i) No Use in Embedded Vehicle Systems or Navigation Systems.
A. Subject to Section 1.2.2 (i)(B), Customer will not use the Services in
devices embedded in a vehicle or in portable navigation devices. For example,
Customer will not use the Services in a Customer Application that (i) is
embedded in an in-dashboard automotive infotainment system or (ii) is part of an in-car mounted GPS unit.
B. Customer may project a Customer Application to display on an
in-dashboard automotive infotainment system and allow Drivers to interact with
such projected in-dashboard automotive infotainment system (e.g., Android Auto or Apple CarPlay).
(j) No Heavy Vehicle Routing. Customer will not use the Services for heavy vehicle routing or navigation (e.g. buses, trucks, or vehicles with road restrictions), unless the Services explicitly specify supporting heavy vehicle navigation.
(k) No Use for Freight Shipping. Customers will not use the Services for transporting goods in bulk by truck, train, ship or aircraft. For example, Customer will not use the Services for the transport of cargo, parcels or bulk or larger items between locations that do not involve either pick-up of items from a Shipper or delivery of items to the
Recipients.
(l) No Use for High Risk Activities. Customer will not use the Services for High Risk Activities. In connection with the Services, “High Risk Activities” include (1) emergency response services; (2) autonomous and semi-autonomous vehicle or drone control; (3) vessel navigations; and (4) aviation.
(m) No Use for Downstream Products. Customer will not include the Services in a Downstream Product.
(n) No Use in Customer Applications Directed to Children. Customer will not use the Services in a Customer Application that would be deemed to be a “Web site or online service directed to children” under the Children’s Online Privacy Protection Act
(COPPA).
2. Advertising. In its sole discretion, Customer may configure the Service to either display or not display advertisements served by Google.
3. Benchmarking. Customer may only conduct benchmarking tests of Services, and Google Maps Content, (each a “Test”) if: (a) the purpose of the Test is for Customer to make decisions about the usage and utilization of the Service based on the Test results, or for Customer to identify areas of improvement for the Services (the “Benchmarking Purposes”), (b) Customer provides Google with the Test results within a reasonable period of time after performing the Test, and (c) Customer does not share the Test results with third parties other than its Delegates who have a need to know and who are bound by confidentiality obligations at least as restrictive as the Google Maps Platform Terms of Service Section 10 (Confidentiality). Customer and its Delegates may only use the Test results for Benchmarking Purposes.
4. Survival. The following sections of this Mobility services Terms will survive expiration or termination of this Services Schedule: Section 1.2.1 (Requirements for Using the Services), Section 1.2.2 (Restrictions against Misusing the Services), Section 3 (Benchmarking), and Section 5 (Additional Definitions).
5. Additional Definitions.
“Billable Transaction” means a completed Mobility Transaction.
“Client” means an End User that is being served by the Customer through the Mobility Transaction. For example, a Client may be the Shipper, Recipient, or passenger.
“Customer Application” means any web page or application (including all source code and features) that (a) is owned or controlled by Customer and (b) is detailed on the Individual Pricing Addendum.
“Documentation” means the then-current Services documentation at
https://developers.google.com/maps/documentation/transportation-logistics-terms/mobility/services.
"Downstream Products" are Customer’s users’ websites, applications, or other products. For example, if the Customer Application is a platform that helps users build their own websites and embed Google Maps in those websites, then those users’ websites are “Downstream Products.
“Driver” means an End User that uses a Customer Application to perform a Mobility Transaction.
“Mobility Transaction” means the physical transport of goods, people, or services from one location to another, carried out for the benefit of Customer’s commercial enterprise, in accordance with the Reporting Requirements.
“Navigation Content” means the following Google Maps Content provided through the Services: (a) turn-by-turn navigation or route guidance; (b) traffic data (including events and road incidents), and (c) alternate routes.
“Navigation Query” means a request from the Customer Application, to the Services that returns real-time Navigation Content.
“Recipient” means an End User that receives a shipment.
“Reporting Requirements” means the then current requirements and specifications described at https://developers.google.com/maps/documentation/transportation-logistics-terms/mobility/reporting-requirements.
“Services” means the then current Google Maps Mobility services described at:
https://developers.google.com/maps/documentation/transportation-logistics-terms/mobility/services, including Google Maps Content.
“Service Specific Terms” means the then-current terms specific to one or more Services described at
“Shipper” means an End User that sends a shipment.
“SLA” means each of the then-current service level agreements described at
https://developers.google.com/maps/documentation/transportation-logistics-terms/mobility/sla. “URL Terms” means the following, which will control in the following order if there is a conflict: (a) the Service Specific Terms;
(b) Reporting Requirements;
(c) the SLA;
(d) the AUP;
(e) the Maps Technical Support Services Guidelines;
(f) the Prohibited Territory;
(g) the Google Maps/Google Earth Legal Notices at
https://www.google.com/help/legalnotices_maps.html; and
(h) the Google Maps/Google Earth Additional Terms of Service at
